These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Amgroww Community Foundation ("Company", "we", "us", "our"), operated by Amgroww Services Pvt Ltd, governing your access to and use of our website, platform, and all related services (collectively, the "Platform"). By creating an account or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age and a resident of India to register on the Platform. By registering, you represent and warrant that you have the legal capacity to enter into this agreement. The Company reserves the right to terminate accounts that do not meet eligibility requirements.

2. Account Registration & Security

You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated at all times. You are solely responsible for safeguarding your password and all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. The Company shall not be liable for any loss arising from unauthorized access to your account due to your failure to secure your credentials.

3. Services & Community Participation

The Platform provides access to community engagement programs, skill development resources, and peer interaction opportunities. Users may subscribe to various Impact Tiers that provide access to premium community features, mentorship, and participation in our community reward programs. Subscription to an Impact Tier requires a one-time joining fee as displayed on the Platform at the time of registration.

4. Impact Coins & Rewards Program

The Platform operates a community rewards system utilizing "Impact Coins". These are promotional incentive points that may be earned through active community engagement and by helping grow the community through peer introductions. Key terms governing Impact Coins:

• Impact Coins are not legal tender, currency, or securities. They are promotional incentive credits with a fixed withdrawal value as defined on the Platform.
• Impact Coins may be withdrawn for monetary value only through the official withdrawal process on the Platform, subject to verification and approval.
• Impact Coins are non-transferable between users and cannot be sold, bartered, or exchanged outside the Platform.
• The Company reserves the right to modify, limit, or discontinue the rewards program at any time with reasonable notice.
• No guaranteed earnings: Participation in the community rewards program does not guarantee any specific financial return. Rewards are variable and depend on community engagement levels.

5. KYC, Payment Information & Withdrawal

To withdraw Impact Coins, users must provide valid Know Your Customer (KYC) details, including bank account information or a valid UPI ID. By submitting a withdrawal request, you:

• Confirm that all payment details (UPI ID, bank account number, IFSC code, beneficiary name) provided are accurate and belong to you.
• Acknowledge that the withdrawn amount will be sent exclusively to the payment details confirmed at the time of withdrawal.
• Accept full responsibility for any errors in the payment details you provide. The Company shall not be liable for any loss resulting from incorrect payment information submitted by you.
• Understand that all withdrawal requests are subject to verification and administrative approval before processing.

6. Payments & No Refund Policy

All subscription fees and joining fees paid to the Platform are non-refundable. Since the Platform provides immediate access to digital community resources, tools, and engagement features upon subscription, refunds are not available under any circumstances. By making a payment, you acknowledge and accept this no-refund policy.

All payments must be made through the payment methods specified on the Platform. The Company reserves the right to reject or cancel any payment or account creation where payment verification fails.

7. User Conduct & Prohibited Activities

You agree not to:

• Provide false, misleading, or inaccurate information during registration or KYC.
• Create multiple accounts to exploit the rewards system.
• Engage in fraudulent activities, including submitting fake payment proofs or transaction IDs.
• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Attempt to manipulate, hack, or reverse-engineer any part of the Platform.
• Misrepresent the nature of the Platform or its rewards program to third parties.
• Harass, abuse, or harm other users of the Platform.

Violation of these terms may result in immediate account suspension or termination without notice, and forfeiture of any accumulated Impact Coins.

8. Intellectual Property

All content, trademarks, logos, designs, and intellectual property displayed on the Platform are owned by or licensed to Amgroww Services Pvt Ltd. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent from the Company.

9. Account Suspension & Termination

The Company reserves the right to suspend or terminate your account at its sole discretion, with or without cause, including but not limited to:

• Breach of these Terms and Conditions.
• Fraudulent activity or submission of false information.
• Engagement in activities harmful to other users or the Platform.
• Extended inactivity as defined by the Company's policies.

Upon termination, your right to use the Platform will immediately cease. Any accumulated Impact Coins may be forfeited at the Company's discretion depending on the reason for termination.

10. Disclaimer of Warranties

The Platform is provided on an "as-is" and "as-available" basis. The Company makes no warranties, expressed or implied, regarding the Platform's reliability, availability, or fitness for a particular purpose. We do not guarantee uninterrupted or error-free service.

The Company does not guarantee any specific income, earnings, or financial returns from participation in the community rewards program. Any representations of potential earnings are illustrative only and should not be construed as guarantees.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Amgroww Services Pvt Ltd and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Platform.
• Unauthorized access to or alteration of your data.
• Any errors or inaccuracies in payment or KYC information provided by you.
• Any third-party conduct on the Platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Amgroww Services Pvt Ltd, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Nellore, Andhra Pradesh, India.

14. Dispute Resolution

Any disputes or claims arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may initiate legal proceedings in the courts specified in Section 13.

15. Amendments

The Company reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting on the Platform. Continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
